Vote on Plan of Dissolution

To: All Hands

From: Matt Larrabee; [redacted]

We wanted to inform everyone that the shareholders completed their voting this weekend and have approved the Plan of Dissolution for Heller Ehrman. As a result of this vote, the Dissolution Committee, with Brad Scott as Manager and Richard Holdrup as Deputy Manager, have assumed responsibility for managing the firm and winding down our business in an orderly fashion. They will of course have the assistance of lawyers and professional staff across the firm.

This has been a sad and very difficult time for everyone. We appreciate your patience and continuing cooperation as we address the many open issues that have been raised by our current circumstances. The Committee will continue to communicate to all of you as they learn more. Please continue to address your questions and concerns to members of the Dissolution Committee, but please understand that they are fielding questions round the clock from all of you and may not be able to respond immediately.

Many people are continuing to look for opportunities for lawyers and staff at all levels across the firm and will try to keep you current as we learn more. The number of law firms continuing to express interest in our people is a testament to the talent and character of all of you. While we are making these transitions, we also must remind everyone of the importance of continuing to serve our clients’ needs.

Each of you should take great pride in your contributions to this proud institution and all that we have accomplished together. You are a phenomenal group of talented people who have served our clients, our communities and each other with passion and grace. We thank you for that.

Heller Highwater is not:

- a place to practice viscious and vindictive "whisper down the lane" rumour-mongering;

- a place to bad mouth co-workers;

- a place for diatribes against specific people or specific incidents;

- a place to heap pity on poor Heller Ehrman staff by outsiders;

- a place that discriminates or sets margins noting who is outside and who is inside - we even welcome supportive Heller Ehrman attorneys!;

- meant to further the demise of Heller Ehrman, LLP.

Heller Highwater is:

- a place for support, a place of empowerment, a place of passion;

- a place to learn about job leads, resume preparation, skill building, training, new opportunities, and how to succeed in a new workplace;

- a place to keep up on the latest news as to how Heller Ehrman management intends to treat its support staff as it winds down its operations - will it be every woman for herself? or will it be "let me hold the door for you and is there anything else I can do for you"?

- a place of refuge.
