Dissolution Plan Leaked

It appears, according to Above The Law, that a copy of the Heller Ehrman Dissolution Plan has made its way around.

You can download it here: http://abovethelaw.com/_Plan%20of%20Dissolution.pdf

Your Cruise Director is still reading through all the pages (43 of them) and will report back with his take in a few.

Over and out.

    p. 7: Dissolution Committee intends that all amounts owed to employees, including accrued vacation time, will be paid.

    “intends”

Well, we all know that the road to Hell is paved with good intentions.

Also doesn’t specify when they “intend” to pay all amounts owed to employees… could be tomorrow, could be two years from now.

Why are there a substantial number of shareholders (Larrabee, etc.) listed as unsecured creditors/vendors to which sums are due in Exhibit D to the dissolution plan?

  5. 5 Anon 9 October 2008 at 6:52 pm

Probably unreimbursed expenses – like travel.

  6. 6 Heller Associate 9 October 2008 at 8:31 pm

Although not out of the realm of possibility, over 12k (Larrabee) seems like a lot of unreimbursed expenses, particularly as Heller directly pays for airfare…

The link’s no longer working. I’m getting the error message “Page not found – /_Plan%20of%20Dissolution.pdf” am I doing something wrong?

  8. 8 Observer 9 October 2008 at 10:21 pm

Huh. You appear to be correct: the link above is not working anymore, and the link directly on the ATL site is no longer working either. I wonder if somebody got ATL to withdraw the document?

But I saved a copy earlier today, and will email it to HD. (Who probably saved it himself already)

  9. 9 Observer 10 October 2008 at 1:38 am

I think it is just an ATL site flaw. Sometimes I can pull it up there, and sometimes I can’t.

  10. 10 Merger Observer 10 October 2008 at 12:40 pm

I have direct knowledge that the banks have approved the plan. If you’re told something else, surprise, they are lying. There was a call this morning to discuss it amoungst the stay team overlords.

URL linked in this post is broken.. actual link from the site works fine..
